IN NO EVENT SHALL NULLGRID INFRASTRUCTURE INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
You agree to indemnify, defend, and hold harmless Nullgrid Infrastructure Inc., its officers, directors, employees, agents, and licensors from any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
Nullgrid Infrastructure Inc. does not guarantee uninterrupted or error-free service. We reserve the right to modify, suspend, or discontinue the Services (or any part thereof) at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Services.
We may perform maintenance, upgrades, or repairs that could temporarily affect service availability. We will endeavor to provide advance notice of planned maintenance whenever possible.
Our Services may contain links to third-party websites or services that are not operated by Nullgrid Infrastructure Inc. We are not responsible for the content, accuracy, legality, or practices of third-party websites. Your use of third-party services is governed by their respective terms and policies.

If you purchase services or products from Nullgrid Infrastructure Inc., you agree to pay all fees in accordance with the pricing and payment terms provided at the time of purchase. All fees are exclusive of applicable taxes unless otherwise stated.
You authorize us to charge your designated payment method for all fees incurred. If payment fails, we may suspend or terminate your account. Refunds are subject to our refund policy as outlined at the time of purchase.
Nullgrid Infrastructure Inc. may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. Upon termination, your right to use the Services immediately ceases.
Sections that by their nature should survive termination, including but not limited to intellectual property rights, indemnification, limitation of liability, and dispute resolution, shall survive any termination or expiration of these Terms.
These Terms and all disputes arising out of or relating to the Services shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflicts of law principles.
Any legal action or proceeding arising under or relating to these Terms shall be brought exclusively in the courts of Ontario, and you irrevocably consent to the jurisdiction and venue of such courts. You waive any objection based on inconvenient forum.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed, and the remaining provisions shall remain in full force and effect. The parties agree to substitute a valid provision that achieves the original intent.
These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and Nullgrid Infrastructure Inc. regarding the Services and supersede all prior or contemporaneous agreements, understandings, and negotiations.
Nullgrid Infrastructure Inc. reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date.
